Applicability of general terms and conditions

Prices

- Semaya media may change all prices that Semaya media uses for its products, on its website or otherwise made known, at any time.
- Increases in the cost of products or parts thereof, which Semaya media could not foresee at the time of making the offer or concluding the agreement, may give rise to price increases.
- The consumer has the right to terminate an agreement as a result of a price increase as referred to in paragraph 3, unless the increase is the result of a statutory regulation.

Settlement

The customer must ensure that the actual delivery of the products ordered by him can take place on time.
Transportation costs
Transportation costs
Transportation costs are borne by the customer, unless the parties have agreed otherwise.
Packaging and shipping
- If the packaging of a delivered product is opened or damaged, the customer must have a note made of this by the carrier or delivery person before accepting the product, failing which Alpha-t cannot be held liable for any damage.
- If the customer arranges for the transport of a product themselves, they must report any visible damage to the products or packaging to Alpha-t prior to transport. Failing this, Alpha-t cannot be held liable for any damage.
Preservation
- If the customer orders products later than the agreed delivery date, the risk of any loss of quality is entirely for the customer.
- Any additional costs resulting from premature or late collection of products will be borne entirely by the customer.
Warranty
- The warranty with respect to products applies only to defects caused by defective manufacture, construction or material.
- The warranty does not apply to normal wear and tear and damage resulting from accidents, modifications to the product, negligence or improper use by the customer, or where the cause of the defect cannot be clearly determined.
- The risk of loss, damage or theft of the products that are the subject of an agreement between the parties shall pass to the customer at the moment when they are legally and/or actually delivered, or at least come into the possession of the customer or of a third party who receives the product on behalf of the customer.

- Consumers must inform Alpha-t of any deficiencies within 2 months of discovering them.
- The customer must provide as detailed a description as possible of the deficiency so that Alpha-t can respond appropriately.
- The customer must demonstrate that the complaint relates to an agreement between the parties.

The customer must notify Alpha-t of any notice of default in writing.

Customer's joint and several liability
If Alpha-t enters into an agreement with multiple customers, each of them is jointly and severally liable for the full amounts owed to Alpha-t under that agreement.
Liability Alpha-t
- Alpha-t is only liable for any damage suffered by the customer if and to the extent that such damage is caused by intent or deliberate recklessness.
- If Alpha-t is liable for any damage, it is only liable for direct damage resulting from or related to the performance of an agreement.
- Alpha-t is never liable for indirect damage, such as consequential damage, lost profits, lost savings or damage to third parties.
- If Alpha-t is liable, this liability is limited to the amount paid out by a concluded (professional) liability insurance policy and, in the absence of (full) payment of the amount of the damage by an insurance company, liability is limited to the (part of the) invoice amount to which the liability relates.
- All images, photos, colors, drawings, and descriptions on the website or in a catalog are for indicative purposes only and are approximate only. They cannot give rise to compensation and/or (partial) termination of the agreement and/or suspension of any obligation.
Expiration date
Any right the customer has to claim damages from Alpha-t will expire 12 months after the event from which the liability directly or indirectly arises. This does not exclude the provisions of Article 6:89 of the Dutch Civil Code.
Right of termination
- The customer has the right to terminate the agreement if Alpha-t is culpably in breach of its obligations, unless this breach, given its special nature or minor significance, does not justify termination.
- If Alpha-t's compliance with its obligations is permanently or temporarily impossible, dissolution can only take place after Alpha-t is in default.
- Alpha-t has the right to terminate the agreement with the customer if the customer does not fully or timely fulfill their obligations under the agreement, or if Alpha-t has become aware of circumstances that give it good reason to fear that the customer will not be able to properly fulfill their obligations.
Force majeur
- In addition to the provisions of Article 6:75 of the Dutch Civil Code, a failure by Alpha-t to fulfil any obligation towards the customer cannot be attributed to Alpha-t in a situation beyond Alpha-t's control, as a result of which the fulfilment of its obligations towards the customer is wholly or partially prevented or as a result of which the fulfilment of its obligations cannot reasonably be expected of Alpha-t.
- The force majeure situation referred to in paragraph 1 also includes – but is not limited to –: a state of emergency (such as civil war, insurrection, riots, natural disasters, etc.); default and force majeure of suppliers, delivery personnel or other third parties; unexpected power, electricity, internet, computer or telecom disruptions; computer viruses, strikes, government measures, unforeseen transport problems, bad weather conditions and work stoppages.
- If a force majeure situation occurs as a result of which Alpha-t cannot fulfil one or more obligations to the customer,

- The preceding paragraph does not apply to products purchased in a physical store.
Changes to the general terms and conditions
- Alpha-t is entitled to amend or supplement these general terms and conditions.
- Minor changes may be made at any time.
- Alpha-t will discuss major content changes with the customer in advance as much as possible.

Transfer of rights
- Customer rights arising from any agreement between the parties may not be transferred to third parties without the prior written consent of Alpha-t.
- This provision shall be deemed to be a clause with property law effect as referred to in Article 3:83, paragraph 2, of the Dutch Civil Code.
Consequences of nullity or voidability
- If one or more provisions of these terms and conditions prove to be null and void or voidable, this will not affect the other provisions of these terms and conditions.
- A provision that is null and void or voidable will in that case be replaced by a provision that comes closest to what Alpha-t had in mind when drawing up the conditions on that point.
Applicable law and competent court
- Dutch law applies exclusively to any agreement between the parties.

The Dutch court in the district where Alpha-t is established / practices / has an office is
exclusively authorized to hear any disputes between the parties, unless the law prescribes otherwise.
